In accordance with Articles 6 and 15 paragraph 1 of the Law on the citizens’ associations; public and political organizations founded on the territory of the Socialistic Federative Republic of Yugoslavia (Official Gazette No.42/90 of the SFRY and Official Gazette No.16/93; 31/93; 41/93; 50/93; 24/94; 28/96 and 73/2000 of the Socialistic Republic of Yugoslavia), and Article 7 paragraph 3 point 2 of the Citizens’ Association Sretenje Statute; the Assembly of the citizens’ association Sretenje at the meeting on the 2nd of September 2005 in Požega adopted the


CITIZENS’ ASSOCIATION "SRETENJE"
S T A T U T E


I GENERAL PROVISIONS


Article 1
Citizen Association Sretenje (hereafter: Sretenje) is non political, non governmental and non profitable citizen association which associate citizen for accomplishment of the goals which are established by this Statute.
Article 2
This Statute establishes common goals, mutual rights, obligations and responsibilities of the members and organs as well as other questions significant for the work of Sretenje.
Article 3
The name of the association is: Citizens’ Association Sretenje.
Main office is in Požega.
Sretenje performs its activity on the territory of Serbia and Montenegro.
Article 4
Sretenje was established at the Constitutive Assembly held on the 15th of February year 2000 in Požega.
Sretenje is a legal person.
Article 5
Sretenje has an emblem whose copy is a constituent part of this Statute.
Article 6
Sretenje has a round stamp, 3cm. in diameter, with a round Latin inscription: "Citizens’ Association »Sretenje« Požega and in the middle of the stamp is an emblem of Sretenje.



II GOALS AND MISSION

 


Article 7
Sretenje goals are the following:

Support to the civil rights and freedoms, rule of Law, non discrimination and responsible authorities;

Promotion of the representative democracy, decentralization and development of the civil activism at the local level;

Creation and development of the civil society;

Promotion of the Government cooperation with commercial and non governmental sector;

Affirmation and stimulus of the citizen participation in the local community development and entire society;

Promotion and affirmation of the integration process of the State Union of Serbia and Montenegro to the European Union and regional European flows;

Affirmation and development of the society democratic values.



In effort to achieve cited goals, Sretenje shall carry out the following tasks:

Establish regional cooperation, toleration and mutual respect of the differences between people and cultures;

Develop valuable orientation, practice and institution of the open multi ethnical, tolerant, rational and democratic society;

Promote responsible leadership knowledge and skills, dialogue and decision making by consensus, constructive conflict solution, strategic planning, lobbying and representing civil initiatives;

Expand citizens’ conscience of need for participation in decision making for the protection of theirs legitimate interests and public properties at the local level and on the control of the local authorities;



Organize independently or in collaboration with other organizations experts meetings, campaigns, seminars, round tables, work shops and other forms of education in this fields;

Publish books and other publications about culture, democracy, science, ecology, human rights and civil societies in accordance with a Law.

Work together with associations and organizations who are engaged in humanitarian activities such as collection and distribution of the humanitarian aid;

Collaborate with universities, expert associations and other organizations inside the country and abroad which are dealing with information and education of the citizens in accordance with a goals;

Carry out activities on the promotions and protections of human rights of the marginalized groups;

Carrying out activities aimed to build and fortify cooperation with media in local communities, contribute to democratization at the local level and development of the civil society;

Follow work of the authorities, especially at the local level, their cooperation and alliances at the local and regional level;

Urge youth activism and their leadership at the local level;

Study and suggest promotion of the internal political and legal system and a rule of Law.



III PUBLICITY OF WORK


Article 8
Work of the Sretenje and its organs is transparent.
The public shall be informed about Sretenje and work and activities of its organstrough the web site of Sretenje, as well as trough electronic and press media.



IV RELATIONS AND COOPERATINS WITH OTHER ORGANIZATIONS

Article 9
For implementation of its goals Sretenje establishes contacts and cooperates with all humanitarian, expert, scientific, educational and similar associations, organizations, groups and individuals inside the country and abroad who accept this cooperation.
Article 10
Sretenje can join organizations and associations for humanitarian or human rights in the country or abroad, in accordance with statutory provisions.
A decision about joining other organizations and associations from the previous Article can be passed by the Executive Board.
An accession to the international organizations is registered at the authorized state organ, in accordance with the law.
V MEMEBERSHIP
Article 11
Any adult person who accepts Sretenje’s goals of Sretenje may become a member.
A membership is acquired by signing an application form which will be ascertained and noted at the Executive Board first meeting.
Article 12
Sretenje’s member is obliged to observe the Statute and other fundamental acts.
Artical13
Membership can be cease in the case of death, stepping out or expulsion.
Each member may request to have a decision passes on the termination of membership of each member who works the contrary to the goals, who does not participates in the work for the long period of time or who braches the Statute’s provisions.

A decision on termination of membership is brought by the Executive Board. Expelled member have a right to file a complain to the Executive Board. Board’s decision upon complain is final.
Article 14
Sretenje’s members rights are:
- To equally take a part with other members in formulations and implementation of the Sretenje’s goals;
- To participate in direct decision making at the meetings;
- To elect and be elected in the Sretenje’s organs;
- To be informed on time about work and activities of Sretenje, and
- To start work initiatives for Sretenje and its organs, to give suggestions, opinions and remarks on the work of Sretenje and to be informed about adopted positions.

Article 15
Members are obliged to:
- Actively contribute and support goals implementation,
- Participate according to their interest in the activities of Sretenje.
- To protect and build association reputation.

VI SRETENJE’S ORGANS


Article 16
Sretenje’s organs are the Assembly, Executive Board and Supervisory Board. The highest organ is the Assembly.

A. ASSEMBLY


Article 17
The Assembly shall:
- Adopt the Statute as well as changes and amendments to the Statute;
- Examine and adopt Executive Board’s work report;
- Examine and adopt financial plan and report;
- Elect and dissolve members of the Executive Board;
- Decision making at the second degree for exclusion from the membership;
- Decision making at the second degree upon complaints and objections on the work, in regard to the Executive Board decisions;
- Perform other duties defined by Law and this Statute.
Article 18.
The Assembly shall consist of all Sretenje’s members;
The session of the Assembly are at least once in four years.
Extraordinary sessions of the Assembly can be held upon suggestion of the Executive Board, Supervisory Board or upon suggestion of at least one quarter (1/4) of all members.
Article 19
The Executive Board can convene and schedule Assembly.
All members are informed about Assembly meeting at least three days before session is held.
Several members who are duly informed and invited members can delegate one member (representative member) to represent them but without a possibility to instruct a member to vote on the certain way for the certain questions.
The Assembly can pass decisions if total number of all present members, members that declared their absence and members that delegated their representative is higher than half of total number of the member with right to vote.
The Assembly passes a decision by majority vote of present members.
Voting is public, except in case when the Assembly by public vote passes a decision to have a voting by secret ballot.
Article 20
In the period between two sessions of the Assembly, the Executive Board under its competence can create permanent or temporary working bodies (councils, sections, boards, and commission’s etc.) to perform certain tasks and missions.
A decision about establishment of permanent or temporary working bodies have to be submitted to the first following session of the Assembly for verification. The Assembly can verify, revoke or alter this decision.



B. EXECUTIVE BOARD


Article 22
The Executive Board is the executive body which ensures the implementation of the Sretenje’s goals determined by Statute and Assembly’s decisions.
The Executive Board shall have five (5) members which are elected and dismissed by the Assembly.
The Executive Board elects the president of the Executive Board among its members.
The mandate of a president and members of the Executive Board is four years, with a possibility of reappointment.
Article 23
The Executive Board shall:
- determines the proposal of the Statute;
- adopt, change and amend other general acts of Sretenje except the Statute;
- report plan and work program;
- ensure implementation and execution of the decisions and conclusions of the Assembly;
- convene and prepare the session of the Assembly;
- manage Sretenje’s work between two Assembly’ s sessions and make a decisions to achieve Sretenje’s goals;
- organise Sretenje’s regular activities;
- make financial decisions;
- manage Sretenje’s property;
- pass a decisions on the first degree of admittance or exclusion of a membership
- consider and adopt work report and working plan of Sretenje;
- approve submitted projects and follow up of its implementation;
- nominate coordinators and associates on projects;
- follow, make plans and is responsible for the expense of the Sretenje’s financial assets;
- adopt financial plan and final account of Sretenje; and
- perform other activities determined by this Statute and other general acts.
Article 24
The Executive Board meetings shall be convened by the president of the Executive Board, when needed.
The Executive Board shall work during meetings chaired by president of the Executive Board or in case of his/her absence, other member of the Executive Board appointed by the Executive Board.
The Executive Board decisions are valid when there is at least three (3) members of the Executive Board present.
The Executive Board passes a decision by majority of vote of present members.
If the votes "for" and "against" are equal, president vote is decisive.
Article 25
The President of the Executive Board is a president of Sretenje.
The President of the Executive Board represents Sretenje in legal circulation and have all rights and responsibilities of financial creditor and in case of his/her incapacitation, person appointed by the Management Board.
The President of the Executive Board supervises the implementation of the Sretenje’s projects and expense of the financial resources, participates in the appointment of the coordinators and associates on projects, chairs the Assembly and the Executive Board meetings, supervises the work of the Sretenje’s administration department and passes a decisions in the field of work, employment and dismissal of workers and conducts other assignments permitted by the Assembly and the Executive Board.
The President of the Executive Board chairs the sessions of the Assembly and the Executive Board; his/her duty is to resolve disputes between other organs and officials of the Association if there is no any competent body or procedure.

C. SUPERVISORY BOARD


Article 26
The Supervisory Board consists of three (3) members: president and two members pass decisions by majority of votes.
The Assembly elects the president and members of the Supervisory Board. The President manages the activities of the Supervisory Board, he/she schedules meetings, directs the meetings and make a decisions on other questions in connection with work of that body according to Statute.
Members of the Supervisory Board cannot be members of the Executive Board at the same time.
The Assembly elects the members of the Supervisory Board for the period of four (4) years.
The Supervisory Board supervises work of the Executive Board and other Sretenje’s bodies, controls the legality of work and financial affairs.

VII CAPITAL ASSETS AND FINANCIAL AFFAIRS


Article 27
In accordance with the Law Sretenje provides means for realization of its goals from the following resources:
- Membership fee;
- Presents and legacy;
- Donations;
- By competitive bidding to the State organs or foundations;
- Voluntary contribution, and
- By other means in accordance with a Law.
- Offering services from its activities for compensation. Such funds will be used for achievement of basic Association’s goals.

Article 28
For the financial obligations Sretenje is liable by its own property.
Sretenje’s resources can be used only on the basis financial plans which are adopted within the framework of plan and program.
Sretenje’s assets are material and financial means, right of the intellectual property and other means obtained in accordance with legal provisions.

VIII ADMINISTRATIVE DEPARTMENT OF SRETENJE


Article 29
Sreteneje’s administrative department consists of employees.

Article 30
The President of the Executive Board shall pass all decisions in connection with work and employment of employees in the administrative department.
Concerning organization and work of the administrative department the Executive Boars shall pass general acts.
Performance of skilled, financial, legal and administrative affairs can be conferred to the permanent or periodical engaged professionals or specialist services of other organizations, communities and associations.

IX SRETENJE’S PROJECTS


Article 31
The Project Coordinator organizes work on the Sretenje’s projects.
The Project Coordinator always submits reports to the Sretenje’s Executive Board about realization of project activities, about his/her work and work of all associates on the project and suggest certain appropriate measures.



X TERMINATION OF WORK

Article 32
Sretenje shall terminate its work if the requirements prescribed by Law are met or if the Assembly passes such decision.
Article 33
A decision on termination at the same time regulate the management of the Sretenje’s property.
If Sretenje terminates its work, the entire property has to be distributed to another non-government organization with similar goals and missions or to institution engaged with humanitarian work.

XI TRANSITIONAL AND FINAL PROVISIONS


Article 34
In the case of dispute, Management Board gives valid interpretation of this Statute.


Article 35
This Statute enters into force on the day of its adoption.
